For your second question, If you really believe that you are not at fault tell him to file a case in court so that the issues will be resolved in a proper forum. For your second question, you can still enforce what was written in the expired MOA. This means that whatever was written in that MOA must be respected by both parties until the whole obligation is extinguished. Example: X has an obligation to deliver a computer to Z within one year. If after the year is over and after payment of Z, X does not deliver. Z has the right to recover payment plus damages or Z may opt to enforce the contract by asking for the delivery of the computer. For your third question, when the signatories signed the MOA they are acting as agents of the company meaning they are acting for and in behalf of the company. Regardless whether they are connected or not with the company, the company is still liable. Thanks baroq. So it means that even if the MOA has expired, they are still obliged to deliver what was stipulated in the MOA. The problem is, parang wala lang sa knila.
