NO! you just repeated what i already said/explained and yet di ninyo pa rin maintindihan ang problema/issue ng kasong ito ...naexplain na nga ng lawyer hindi ninyo pa rin maintindihan. ang tinatanong ko ay simple lang does a pdr constitute ownership? so nagkaroon ba ng kahit 0.1% na foreign ownership? the answer is no. when you include any clause that gives investors rights only owners have then it is no longer a pdr. that is the reason why the sec voided the pdr issued by rappler. pinagpipilitan ninyo kasi dahil sa clause na yan eh foreign owned na si rappler. SEC mismo nagsabi at ang ginamit niyang term is deemed as an equities derivative. a derivatives is another form of financial instrument totally differentbfrom a pdr. in other words sa mata ni SEC hindi isang pdr ang kanyang na issue dun sa foreigner kundi isang derivatives disguised as a pdr kuno to be able to circumvent the foreign ownership limit. . a pdr does not constitute ownership so in the first place pag naglagay ka na ng. clause which is only reserved for owners then hindi na pdr yan...void na yan from the start. pag sinabing void meaning it is deemed to have never existed or not legally binding bec illegal. in short legally speaking kung may kasunduan sila at hindi naman siya pwedeng tawaging pdr eh ano yun kasunduan nila? diyan pumapasok yun sabi ni sec na deemed as equities derivatives yun instrument that was issued. yan pwede na yun pinagpipilitan ninyo na may change in ownership. know what a pdr really is first. basahin ninyo ang sec ruling na 20++ pages at dun nakadetalye on how they decided on the case. hindi ninyo makikita o mababasa yan sa press releases kasi masalimuot i-explain at intindihin. again hindi ako kumokontra sa desisyon ng sec kasi may punto naman siya. it is really now up to the court to decide if yun pinapakitang waiver on the said clause is an acceptable cure to make the pdr valid.
