It happened to me, complicated but when we were together it was so good..It ended when I had to move away for work. She is now married and has a family. Still miss our times together but happy for her.

kung naitayo na ang korporasyon, imposible ang sinasabi mo na may ipapalit na incorporator ang nakabili sa restaurant (dahil paano mo papalitan ang mga may-ari ng sapi nung itinayo ang korporasyon at ito ay nakalipas na). ang pwede nilang gawin ay PALITAN ang mga may-ari ng sapi, at hindi ito magtatagal ng buwan! dahil gagawa ka lang ng Deed of Assignment kung saan inililipat at isinasalin mo sa iba yung mga sapi na nakapangalan sa iyo. wala pang isang araw ay magagawa na yan.

 

ano ang pwede niyong gawin para pangalagaan/ipagtanggol ang inyong mga sarili? Kailangang may mga hawak na kayong Deed of Assignment kung saan isinasalin at inililipat na niyo sa iba ang mga sapi na nakapangalan sa inyo. Para may katibayan kayo na wala na kayong koneksyon sa restaurant/negosyo/korporasyon na yan DAHIL NGA IBENENTA NA NINYO ANG partisipasyon, karapatan, at pagmamay-ari ninyo sa restaurant sa ibang tao.

Yung date kong boss na Japanese nag tayo ng restaurant at nakiusap sa aken at iba pang kaibigan na maging "dummy" incorporators.

Gusto na po namen mag resign bilang incorporators dahil ibinenta na ng date kong boss ang restaurant dahil nalulugi.

At present, may ipapalit na po ang bagong may ari na bagong incorporators pero ang proseso ay tatagal ng ilang buwan.

Ano po ba maganda namen gawen para maprotektahan namen ang mga sarile namen kung may maghahabol? Salamat po.

Copy furnish the president of the company. Keep your tone civil but point out that what they are doing is unreasonable and you would like an explanation why it hasn't been done yet. It's time to document everything just in case you have to file a complaint in DOLE.

Dr. Pepper..Thanks for the advice. I wrote a demand letter to my former company per your advice. Kahapon binigay na nila yung huli kong sweldo after over a year. Yun nga lang yung commission ko hinde pa naisama pero nangako sila (again) na in a week or two ibibigay nila din. Good enough.

Consult ulit ako.. I helped this company get a project. As a reward they are offering me to be a director of one of their subsidiary company. If ever, as a director, ano po ba ang liability ko say sa isang project pumalpak yung kumpanya or magka-kaso yung kumpanya?

Good afternoon mga Attorney. Last year I consulted here yung sitwasyon ko. I resigned from a company and they held on to my last pay and commission, ITR and clearance because I have demo units on loan to clients that I needed to pull out and return. I've done that and reached an agreement with my former company to pay for some of the items that are unreturned per advice here.

However, several weeks have passed since they told me that I'm cleared and they just keep on telling me that they would give me my money. Yesterday, I followed up and still nothing. So, I requested HR to give me a copy of the clearance if it's ready. They sent it to me and from the clearance, I saw that as of March 11, 2010, the person in-charge for demo units cleared me already and April 19, 2010 the VP for Finance has already given instructions. Today is July 21, 2010 and still no certainty that they are going to give me my last pay.

Please advice me on what action I can take.
